Platform terms governing use of the Finanzer platform.

1. Qualified Investor Attestation

Users must attest to their status as qualified institutional investors. All investors complete KYC/AML verification through Sumsub and provide documentation confirming their qualified investor status. Retail investors are not permitted on the platform. Investor qualification is enforced at the token level through ERC-3643 compliance logic.

2. Token Purchase Terms

SPV token purchases are governed by the terms set in each SPV's documentation. Tokens represent fractional ownership of underlying debt instruments held within Special Purpose Vehicles. Token purchases are subject to the specific terms of each SPV offering, including maturity, coupon structure, collateral, and recovery procedures. Tokens are transferable only to other qualified investors who have completed KYC/AML verification.

3. Platform Role

Finanzer operates as infrastructure provider and intermediary—not as an investment advisor. The platform does not provide investment advice, tax advice, or legal counsel. Finanzer does not guarantee the performance of any SPV, the accuracy of AI verification outputs, or the outcome of any enforcement proceeding. Users are responsible for conducting their own due diligence before committing capital to any deal on the platform.

4. Risk Acknowledgment

Users acknowledge the risks associated with tokenized debt instruments as described in our Risk Disclosures. Investing in tokenized debt instruments involves risk, including potential loss of capital. Past performance of any deal on Finanzer does not guarantee future results.

5. Dispute Resolution

Disputes are resolved through arbitration under German law, seated in Hamburg. Any disputes arising from the use of the Finanzer platform shall be resolved through binding arbitration under the rules of the German Arbitration Institute (DIS). The arbitration shall be conducted in English. Each party shall bear its own costs.

6. Limitation of Liability

Finanzer's liability is limited to the extent permitted by applicable law. To the maximum extent permitted, Finanzer and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of the platform. Finanzer's total liability for any claim shall not exceed the fees paid by the user to Finanzer in the twelve months preceding the claim.

7. Data Protection

User data is processed in accordance with our Privacy Policy and applicable data protection laws. As a Hamburg-based entity, Finanzer operates under the General Data Protection Regulation (GDPR). Personal data is collected with explicit consent and for defined processing purposes.

8. Governing Law

These terms are governed by the laws of the Federal Republic of Germany. By accessing or using the Finanzer platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. Finanzer reserves the right to modify these terms at any time. Continued use of the platform after modifications constitutes acceptance of the updated terms.
